Cosan's Robust Second Quarter: Debt Reduction and Strategic Initiatives Drive Growth


Cosan, a leading Brazilian energy and logistics company, has reported a strong second quarter of 2026, with significant debt reduction and strategic initiatives driving growth. In an earnings call on August 17th, the company's management highlighted several key highlights from the period.

One of the notable achievements was the successful completion of Compass' initial public offering (IPO), which generated BRL 2.3 billion in net proceeds for Cosan. This transaction is a crucial step in executing the company's strategy to strengthen its capital structure and improve financial flexibility.

In addition, Cosan announced the sale of a portion of Radar's land portfolio in Mato Grosso for BRL 1.85 billion, with approximately BRL 586 million corresponding to Cosan's indirect stake to be received at closing. The company also signed an exclusive letter of intent for the full divestment of its stake in Terminal de Uso Privado Porto São Luís, with a proposal including BRL 300 million paid at closing and an indicative earn-out of up to BRL 50 million per additional berth linked to future expansion.

These initiatives, combined with debt prepayments totaling nearly BRL 9 billion through June, have significantly reinforced Cosan's deleveraging path and optimization of its capital structure. The company has achieved a 20% reduction in expanded net debt compared to the first quarter of 2026 and a 36% decrease in general and administrative expenses, resulting in savings of BRL 49 million in the first six months of 2026 compared to the same period of 2025.

Furthermore, Cosan has announced its decision to delist its ADSs traded on the NYSE with the objective of pursuing deregistration with the SEC in the future. This move aims to further simplify the holding company and reduce regulatory burdens.

On the operational front, Raízen had its out-of-court reorganization plan approved with adherence from 81.6% of its financial creditors, marking another fundamental step in the company's turnaround process. Despite these positive developments, Cosan reported a negative net income of BRL 320 million for Q2 2026, mainly due to one-off negative impacts and impairments.

However, the company received BRL 399 million from investors in the quarter, primarily composed of Compass. This influx of capital will help support future growth initiatives and reinforce Cosan's financial stability.

Cosan's management emphasized that these results demonstrate their commitment to executing a robust deleveraging plan and implementing strategic initiatives to drive growth and improve shareholder value. As the company continues to navigate a complex business environment, it is clear that Cosan remains focused on achieving its long-term goals and delivering strong returns for investors.
