BlackRock TCP Capital Corp Shatters Q3 Expectations with Record Repayments and Strategic Review Progress

In a surprising turn of events, BlackRock TCP Capital Corp (TCPC) has announced a stellar third quarter performance, with record repayments and significant progress in its ongoing strategic review.

During the quarter, TCPC completed the sale of approximately $524 million of investments to a continuation vehicle sponsored by Pantheon. This transaction also saw the assumption of $405 million of CLO debt that had been issued during the second quarter of 2026. The company's board has engaged Keefe, Bruyette & Woods to assist with the review of strategic alternatives, and while no definitive outcome has been shared yet, TCPC continues to make progress and remains focused on reaching the best possible outcome for its shareholders.

TCPC also saw repayment and realization activity totaling $224 million during the quarter. This included the full payoffs of its investments in Motive Technologies and Pico shortly after the end of the second quarter, as well as the full repayment of its investments in ESO Solutions and Domo following their sale.

These repayments have significantly increased TCPC's liquidity, reducing net leverage to 0.16 times and contributing to a quarter-end cash balance of approximately $253 million. Given the ongoing strategic review, TCPC has made a deliberate decision to maximize investment dry powder and liquidity rather than pursue new deployment opportunities.

TCPC's portfolio NAV declined by $0.97 per share from $6.58 to $5.61 per share at September 30th. The primary driver of this decline was the $0.68 per share impact of the portfolio sale transaction, with Job&Talent accounting for an additional $0.15 per share of the reduction. This markdown is attributable to the company's current evaluation of strategic alternatives.

TCPC Chairman and Chief Executive Officer Jason Mehring stated during the Q3 earnings call that 'we made a deliberate decision to maximize investment dry powder and liquidity rather than pursue new deployment opportunities.' This approach, according to Mehring, best preserves optionality to maximize shareholder value and keeps all alternatives available to the board as it continues the evaluation process.

TCPC's financial results, balance sheet, and liquidity will be covered by its CFO Erik Cuellar during the call. The company has also posted a supplemental earnings presentation on its website at www.tcpcapital.com, which should be reviewed in conjunction with the company's Form 10-Q filed with the SEC earlier today.
