Dana Incorporated Delivers Strong Q3 Performance, On Track for Eaton Merger Synergies

The third quarter of 2026 was a standout period for Dana Incorporated, with the company delivering solid results driven by continued focus on productivity gains, supply chain efficiencies, and commercial discipline. In its latest earnings call, Dana reported sales of just over $2 billion, an increase of $121 million compared to Q3 2025, while EBITDA came in at $218 million, up $56 million from the same period last year.

CEO Byron Foster took pride in the team's delivery of a 10.7% margin, a 220 basis point improvement over Q3 2025. The company's cost savings program is also on track to deliver $325 million by the end of Q4, surpassing its initial target of $200 million launched in November 2024. So far this year, Dana has delivered $60 million against that target, bringing the total to $320 million.

Foster highlighted the company's cost discipline and efficiency focus as key drivers of its strong performance, and expressed confidence in delivering synergy targets related to the Eaton merger. Speaking on share repurchases, Foster revealed that Dana has increased its buyback program for 2026 to a target of $469 million, with $100 million remaining to be completed by the end of the year.

The company is also making progress on the Eaton Mobility transaction, which it views as a highly strategic combination. The merger is structured as a split-off and Reverse Morris Trust transaction, intended to be tax-free for both Dana and Eaton shareholders. Dana expects an orderly distribution of shares to Eaton shareholders interested in new Dana, with a target synergy of $250 million within 24 months post-close.

Dana's Chief Financial Officer, Timothy Kraus, echoed Foster's sentiments on the company's performance, highlighting its ability to deliver results in a challenging market. The company's focus on productivity gains and supply chain efficiencies has allowed it to maintain profitability despite industry headwinds.

As Dana continues to drive growth and efficiency, investors are likely to be closely watching the company's progress towards its synergy targets related to the Eaton merger. With a strong track record of delivering results, Dana is well-positioned to capitalize on the opportunities presented by this strategic combination.
