Redwood Trust: Embracing Change, Unlocking Value

Redwood Trust, a stalwart player in the real estate investment trust (REIT) landscape, has taken a significant step forward by announcing its intention to transition into a taxable C-corporation beginning in 2027. This strategic move is aimed at better aligning the company's structure with its operating business and enhancing its ability to build long-term shareholder value.

According to Chris Abate, Chief Executive Officer, the transition is expected to generate an initial GAAP book value benefit of approximately $0.73-$0.77 per share in the fourth quarter of 2026, representing a significant increase of around 11% over the company's September 30 book value per share of $6.56.

Redwood Trust has undergone substantial evolution since its founding in 1994, with its transformation into an operating platform accelerating in recent years. Today, it serves as an embedded partner to hundreds of loan originators and real estate investors, including 70 of the top 100 U.S. banks. The company's deep underwriting and asset management expertise, combined with leading securitization and whole loan distribution programs, have contributed to its market share gains in mortgage banking.

However, despite these earnings strengths, Redwood Trust's book value growth has been limited by the company's distribution of substantial capital through dividends. The decision to de-REIT will allow the company to unlock significant tangible value from its existing tax assets and retain earnings for more effective capital allocation.

The transition is expected to bring several near-term benefits, including unlocking federal and state NOL carryforwards that were previously unusable, greater flexibility to retain earnings, and the opportunity to reset the quarterly common dividend to $0.02 per share beginning in the fourth quarter of 2026. This revised payout ratio will be more in line with banks, asset managers, and other C-corp mortgage businesses.

For shareholders who value Redwood Trust's historically high dividend yield, particularly retail investors, the company has announced plans for a preferred-for-common exchange offer that is expected to come at a significant premium. This new series of preferred stock will carry a high dividend yield aligned with income-oriented objectives.

The de-REIT transition marks an exciting new chapter in Redwood Trust's evolution, and the company is poised to capitalize on its strengths while unlocking new value for its shareholders. As it embarks on this strategic journey, Redwood Trust remains committed to building long-term shareholder value through a combination of earnings growth, capital allocation flexibility, and enhanced tax efficiency.
